Terms of Service
1. Acceptance of Terms
By accessing or using any product or service offered by InvisiPay, Inc. ("InvisiPay", "we", "our", or "us"), including the InvisiPay website, mobile application, U-Card, Privacy Pay, OTC Exchange, and Invisible Connect API (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must immediately cease use of the Services. These Terms constitute a legally binding agreement between you and InvisiPay. Please read them carefully.
2. Description of Services
InvisiPay provides a suite of privacy-first cryptocurrency payment tools:
- U-Card — A Visa/Mastercard debit card that converts stablecoins to local fiat currency at point of sale, accepted at 80M+ merchants worldwide.
- Privacy Pay — A zero-knowledge (ZK) shielded payment layer allowing users to pay merchants without creating traceable on-chain links between sender and receiver.
- InvisiPay App — A non-custodial mobile application for scan-and-pay, Change Note management, and wallet operations.
- OTC Exchange — A KYC-verified over-the-counter service for fiat-to-crypto and crypto-to-fiat conversions.
- Invisible Connect — A merchant API enabling third-party platforms to accept ZK-shielded payments via REST integration.
3. Eligibility
To use the Services, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts in your jurisdiction; (c) not be a resident of, or subject to the laws of, any jurisdiction where use of our Services is prohibited, including the United States of America and countries or territories subject to comprehensive sanctions administered by OFAC, the UN Security Council, the EU, or equivalent bodies.
We reserve the right to refuse service to anyone and to modify eligibility requirements at any time.
4. Account Registration & Security
Certain Services require you to create an account and complete identity verification (KYC/AML) procedures. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; (c) keep your credentials confidential; (d) notify us immediately of any unauthorised access to your account.
You are solely responsible for all activity that occurs under your account. InvisiPay will not be liable for any loss arising from unauthorised use of your account.
5. U-Card Terms
The U-Card is issued subject to the card programme terms of the applicable card network (Visa or Mastercard) and the issuing bank or e-money institution. By applying for a U-Card, you additionally agree to those terms. Key conditions include:
- Funds loaded onto the U-Card are converted from stablecoins at the prevailing exchange rate at the time of transaction.
- U-Card transactions may be subject to transaction limits set by InvisiPay or the card network.
- InvisiPay does not guarantee card acceptance at any specific merchant.
- Lost, stolen, or damaged cards must be reported immediately to contact@invisipay.fi.
6. Privacy Pay & ZK Protocol
Privacy Pay uses zero-knowledge cryptographic proofs to sever the on-chain link between payer and payee. By using Privacy Pay, you acknowledge:
- ZK proofs are generated locally on your device. Your private keys and proof inputs never leave your device.
- The privacy guarantees of Privacy Pay depend on the security of the underlying ZK circuit, the Noir toolchain, and the Barretenberg proving system. While we design for the highest security standards, no cryptographic system is unconditionally secure.
- Once a deposit is submitted on-chain, the funds are controlled by the smart contract and cannot be reversed unilaterally by InvisiPay.
- Change from a shielded payment is returned to you as a cryptographic Note. You are responsible for safeguarding your Notes.
- Privacy Pay is a non-custodial service. InvisiPay does not hold or control your funds.
7. OTC Exchange
The OTC Exchange allows KYC-verified users to purchase and sell USDT, USDC, and other supported stablecoins using bank transfer, Alipay, or WeChat Pay. By using the OTC Exchange:
- You confirm that all funds you use are from legitimate sources and comply with applicable anti-money laundering (AML) laws.
- You authorise InvisiPay to conduct enhanced due diligence and to report suspicious activity to relevant authorities.
- Transaction limits and supported currencies are subject to change without notice.
- InvisiPay is not responsible for delays caused by banking systems or third-party payment processors.
8. Fees & Taxes
Fee schedules are published on the InvisiPay website and may be updated periodically. By using the Services, you agree to pay all applicable fees. All fees are inclusive of applicable charges unless stated otherwise.
You are solely responsible for determining and paying any taxes applicable to your use of the Services. InvisiPay does not provide tax advice.
9. Prohibited Uses
You may not use the Services for any of the following purposes:
- Money laundering, terrorist financing, or any activity that violates applicable AML/CFT laws.
- Purchasing illegal goods or services, including controlled substances or weapons.
- Circumventing applicable sanctions or export controls.
- Fraud, market manipulation, or deceptive practices.
- Violating any applicable law, regulation, or third-party rights.
- Reverse engineering, decompiling, or attempting to extract the source code of our software or ZK circuits.
- Interfering with or disrupting the integrity or performance of the Services or any smart contracts.
We reserve the right to terminate any account that we believe, in our sole discretion, is engaged in prohibited uses.
10. Risk Disclosure
The Services involve significant risks, including but not limited to:
- Cryptocurrency risk: Digital asset prices are highly volatile. The value of stablecoins may deviate from their peg.
- Smart contract risk: Smart contracts may contain bugs or vulnerabilities despite auditing.
- Regulatory risk: The regulatory status of cryptocurrency products is uncertain in many jurisdictions and may change.
- Technology risk: ZK proving systems, including Noir circuits and the Barretenberg backend, may be subject to cryptographic advances that reduce their security.
- Network risk: Blockchain network congestion, forks, or failures may affect transaction processing.
You should not use funds that you cannot afford to lose. Past performance is not indicative of future results.
11. Intellectual Property
All intellectual property rights in the Services, including but not limited to the InvisiPay brand, website, application, ZK circuits, and Invisible Connect API, are owned by or licensed to InvisiPay. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your personal or business purposes in accordance with these Terms. Nothing in these Terms transfers any intellectual property rights to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVISIPAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
INVISIPAY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO INVISIPAY IN THE THREE MONTHS PRIOR TO THE CLAIM OR (B) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so the above limitations may not apply to you in full.
13. Indemnification
You agree to indemnify, defend, and hold harmless InvisiPay, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.
14. Term & Termination
These Terms are effective from the date you first access the Services and continue until terminated. InvisiPay may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account by contacting contact@invisipay.fi. Upon termination, all licences granted under these Terms cease immediately.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration under the rules of the Hong Kong International Arbitration Centre (HKIAC). The seat of arbitration shall be Hong Kong. The language of arbitration shall be English.
16. Amendments
InvisiPay reserves the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website or by email. Your continued use of the Services after such notification constitutes your acceptance of the revised Terms.
